Due Diligence

By Tim Nichols

In plain English

The investigation of a business, asset, or transaction before a decision such as an investment or acquisition. It can cover ownership, finances, contracts, IP, employment, disputes, and compliance. Its scope depends on the deal; producing documents is only part of demonstrating that the underlying rights and obligations are sound.
