Formation & Liability

Entity Conversion

By Tim Nichols

In plain English

A legally authorized transaction changing a business from one entity form to another, such as an LLC to a corporation. It can affect governance, ownership documentation, taxes, and contractual consents. A state-law conversion is different from merely electing a different federal tax classification.
