Ownership & Governance

Founder Agreement

By Tim Nichols

In plain English

An agreement defining the relationship among a business's founders, including contributions, roles, ownership, vesting, IP, decision-making, and departures. Its terms should coordinate with the company's governing documents and equity instruments. A founder title or informal understanding does not, by itself, resolve ownership or authority.
