Contracts

Liquidated Damages

By Tim Nichols

In plain English

An amount or formula agreed in advance to compensate for a specified breach. Courts may refuse to enforce a provision that operates as an impermissible penalty rather than a valid damages estimate. Calling a fee liquidated damages does not establish its enforceability.
