Formation & Liability

Texas Franchise Tax

By Tim Nichols

In plain English

A Texas privilege tax applying to taxable entities formed in Texas or doing business in the state, subject to exemptions and other rules. Liability and reporting depend on the entity and applicable requirements. Owing no tax does not necessarily eliminate required information reports or the need to maintain the account.

Types and key distinctions

Tax Forfeiture

A loss of specified entity rights or privileges resulting from failure to satisfy applicable tax or reporting requirements. In Texas, franchise-tax noncompliance can lead to forfeiture processes and potential personal liability for certain debts. Forfeiture of tax privileges and later forfeiture of an entity's charter or registration are related but distinct steps.
