Contracts

Confidentiality Agreement

Also called: NDA · Nondisclosure Agreement.

By Tim Nichols

In plain English

An agreement restricting the use or disclosure of specified information, often called an NDA. It should identify protected information, permitted uses, exclusions, authorized recipients, and duration. Confidentiality obligations protect information but do not, by themselves, transfer ownership of intellectual property.
