Contracts

Restrictive Covenant

By Tim Nichols

In plain English

A contractual restriction on specified conduct, often involving competition, solicitation, confidentiality, or use of business information. Different restrictions have different enforceability standards, and jurisdiction matters. A clause should be assessed for its actual scope and legal requirements rather than assumed valid because an employee signed it.
