Ownership & Governance

Deadlock

By Tim Nichols

In plain English

A failure to obtain the approval needed for a company decision because the required voters cannot agree. A 50/50 ownership split can create deadlock when neither side can secure the necessary vote. Operational disagreements are not always legal deadlocks, and resolution depends on the governing agreement and available remedies.
