Ownership & Governance

Reserved Matters

By Tim Nichols

In plain English

Decisions withheld from ordinary management authority and made subject to specified owner, board, or investor approval. Examples include major borrowing, new equity, related-party deals, or a sale of the business. The governing agreement should identify the matters and voting thresholds clearly to avoid accidental vetoes or unauthorized action.
